Seller Agreement

This Seller Agreement (“Agreement”) is made between GrabSho (referred to as “Platform”) and the Seller (referred to as “You”), for the purpose of listing and selling vehicles and related products on the GrabSho platform.

By agreeing to these terms, you as a seller acknowledge that you will comply with all platform policies, local laws, and regulations.

  1. Eligibility

    Only authorized vehicle manufacturers, dealers, or distributors are eligible to become sellers on GrabSho.

    By entering into this agreement, you confirm that you are legally authorized to sell the listed products on the platform.

    1. Listing Products

    Sellers are responsible for accurately describing the products listed, including specifications, images, and pricing.

    All product listings must comply with local regulations, including safety standards, warranties, and certifications.

    GrabSho reserves the right to review, approve, or reject any listing that does not meet platform standards.

    1. Payment and Fees
    • Payment Gateway: Payments for products will be processed through a third-party payment gateway, and you agree to comply with the terms of that gateway.
    • Listing Fees: During the initial period, GrabSho offers zero listing fees to encourage sellers to list their products. However, after the promotional period ends, a listing fee may be introduced, and you will be notified in advance.
    • Commissions: GrabSho may charge a commission on each sale, as agreed upon during the onboarding process. The commission will be deducted from the final sale price.
    1. Order Fulfillment

    Sellers are responsible for the timely shipping and delivery of products to the customers. You must ensure that the product is shipped within the agreed timeframe.

    If there is a delay in shipping, it is the seller’s responsibility to inform the buyer in a timely manner.

    1. Customer Service and Returns

    Sellers must provide customer support and resolve any issues related to their products. This includes handling product defects, returns, and complaints.

    In case of a return, the seller must process the return according to GrabSho’s return policy. Shipping costs for returns are to be borne by the seller if the product is defective or incorrect.

    1. Intellectual Property

    You retain ownership of your intellectual property (e.g., brand name, logos), but you grant GrabSho the right to use your product images and descriptions for the purpose of listing your products on the platform.

    You agree not to infringe on the intellectual property rights of third parties.

    1. Seller Obligations

    Sellers must comply with all applicable local and international laws and regulations, including consumer protection laws, vehicle safety standards, and advertising regulations.

    Sellers must ensure that all products listed are in saleable condition and meet safety standards.

    Sellers must provide accurate and complete product information to avoid any misrepresentation.

    1. Dispute Resolution

    In case of a dispute between the buyer and seller, GrabSho may mediate, but the seller is responsible for resolving the issue.

    If a dispute cannot be resolved, GrabSho may remove the seller from the platform at its discretion.

    1. Termination

    GrabSho reserves the right to terminate this Agreement and remove the seller from the platform if the seller violates any terms of this agreement or engages in fraudulent or unethical activities.

    Sellers may terminate their participation at any time by notifying GrabSho, but any outstanding obligations (e.g., pending orders, fees) must be settled.

    1. Indemnity

    The seller agrees to indemnify and hold GrabSho harmless from any claims, losses, or damages arising from the seller’s products, actions, or failure to comply with this Agreement.

    1. Changes to Agreement

    GrabSho reserves the right to update or change this Seller Agreement at any time. Sellers will be notified of any significant changes, and continued use of the platform will be considered acceptance of the updated terms.

    1. Seller Fees and Payment Terms
    • Transaction Fees: GrabSho may charge a transaction fee for each sale, which will be clearly communicated before the finalization of the sale.
    • Payment Process: Payments for sold products will be made to the seller after a deduction of the platform’s fees, usually within a specified period (e.g., 15 days). Sellers should provide accurate bank details for payment.
    1. Compliance with Local Laws
    • Vehicle Regulations: The seller agrees to comply with all relevant vehicle laws, including emissions standards, safety requirements, and RTO (Regional Transport Office) guidelines. It is the responsibility of the seller to ensure that the products sold are legally compliant in the jurisdictions where they are marketed.
    • Environmental Standards: Sellers of electric vehicles must adhere to the local environmental standards and certifications for EVs.
    1. Marketing and Promotions
    • Co-marketing Opportunities: Sellers may participate in joint promotional campaigns with GrabSho, where the platform will bear 50% of the advertising cost. Sellers agree to support marketing efforts, such as providing discounts, offers, or marketing materials as required by the platform.
    • Advertising Fees: If GrabSho introduces paid advertising services to sellers, the terms of those services will be discussed separately.
    1. Confidentiality

    Confidential Information: Both GrabSho and the seller agree to keep sensitive business information confidential, including pricing, customer data, and sales performance data. Sellers agree not to share confidential information with third parties without permission.

    1. Performance Monitoring and Reviews
    • Seller Performance Metrics: GrabSho reserves the right to monitor seller performance based on customer feedback, order fulfillment time, and return rates. Sellers with consistently poor performance may be subject to removal from the platform.
    • Customer Reviews: GrabSho allows buyers to leave reviews and ratings for products. Sellers agree to respect these reviews and use the feedback to improve their offerings.
    1. Force Majeure

    Unforeseen Events: GrabSho and the seller will not be held liable for any delays or failures to perform due to events beyond their control, such as natural disasters, strikes, or changes in government policy.

    1. Governing Law and Jurisdiction
    • Governing Law: This agreement will be governed by and construed in accordance with the laws of India.
    • Jurisdiction: Any legal disputes arising from this agreement shall be subject to the jurisdiction of the courts located in Muzaffarnagar, Uttar Pradesh.
